1. Agreement

These Terms of Service ("Terms") form a binding agreement between you ("you" or "your") and ElaCloud LLC, a Delaware limited liability company ("ElaCloud," "we," "our," or "us"). By accessing or using elacloud.com or www.elacloud.com (the "Site"), you agree to these Terms. If you do not agree, do not use the Site.

2. The Site

The Site is a corporate informational website operated by ElaCloud LLC. It provides general information about ElaCloud and its activities. The Site does not offer goods or services for purchase through this interface.

3. Intellectual Property

All content on the Site — including text, graphics, logos, icons, and design — is owned by or licensed to ElaCloud LLC and protected by applicable copyright, trademark, and other intellectual property laws. You may not copy, reproduce, modify, distribute, transmit, display, perform, publish, or create derivative works from Site content without our prior written consent, except as permitted by fair use or other applicable law.

ElaCloud's name, logo, and product names are trademarks of ElaCloud LLC. Nothing in these Terms grants you any right to use them without our prior written permission.

4. Acceptable Use

You agree to use the Site only for lawful purposes and in accordance with these Terms and our Acceptable Use Policy, which is incorporated by reference.

5. Disclaimer of Warranties

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ELACLOUD EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY.

We do not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ELACLOUD LLC, ITS MEMBERS, MANAGERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ALL CASES, ELACLOUD'S AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE IS LIMITED TO ONE HUNDRED DOLLARS (USD $100.00).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability for certain types of damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

7. Third-Party Links

The Site may contain links to third-party websites or services not owned or controlled by ElaCloud. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party sites. We encourage you to review the terms and privacy policies of any third-party sites you visit.

8. Indemnification

You agree to defend, indemnify, and hold harmless ElaCloud LLC, its members, managers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Site; (b) your violation of these Terms; or (c) your violation of any applicable law or the rights of any third party.

9. Changes to Terms

We reserve the right to modify these Terms at any time. When we do, we will update the "Last updated" date. Material changes will be identified on the Site. Your continued use of the Site after any change constitutes acceptance of the revised Terms.

10. Governing Law and Venue

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Site shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.

11. Waiver and Severability

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision. If any provision of these Terms is found by a court of competent jurisdiction to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

12. Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, and Acceptable Use Policy, constitute the entire agreement between you and ElaCloud LLC regarding the Site, and supersede any prior agreements.
